(As Required by SEC Rules & Regulations) Schmetter & Associates LLC serves as an independent sales and marketing representative for Bernzott Capital Advisors. Schmetter & Associates LLC is not affiliated with and has no relationship with Bernzott Capital Advisors other than a separate written agreement covering the solicitation of business on the Advisors' behalf. Schmetter & Associates LLC receives a $80,000 annual retainer from Bernzott, as well as 25% of the investment management fees on assets placed under management of Advisor through the efforts of Schmetter & Associates LLC. Schmetter & Associates LLC is not a broker/dealer, and all fees and commissions paid to Schmetter & Associates LLC are in hard dollars. Bernzott Capital Advisors has a standard fee schedule and is not adding a differential to compensate them for any solicitations by Schmetter & Associates LLC.
